Terms of Service

1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you and Earth Guard Ventures(registration no. 202603144809), a business registered in Malaysia that operates the BridgeConnect platform ("BridgeConnect", the "platform"). In these Terms, "we", "us", and "Earth Guard Ventures" mean the operator. BridgeConnect is invite-only. Accounts are issued by an administrator and activated when you sign in for the first time. By signing in, you confirm that you have read, understood, and agree to these Terms, the Privacy Notice, and the Disclosures. If you do not agree, do not sign in and notify the administrator.

2. Description of service

BridgeConnect is a platform for organising short-term financing against purchase orders ("POs"). The POs are placed and carried out by Earth Guard Sdn Bhd (registration no. 202501001097), a company registered in Malaysia and part of the Earth Guard group. Roles on the platform include:

  • Administrator — operates the platform, onboards participants, and settles commissions and returns.
  • Player — submits POs originated through their procurement relationships.
  • Introducer — refers players or participants and receives a referral commission.
  • Participant — provides short-term capital deployed against funded POs in exchange for a tiered contractual return.

3. Deposits, withdrawals and custody of funds

  • Capital you provide is deposited to a bank account in the name of Earth Guard Ventures and is held by Earth Guard Ventures.
  • Withdrawals and returns are paid out by Earth Guard Ventures to the bank account you have registered with us.
  • Earth Guard Ventures is not a bank and does not provide deposit-taking services. Funds held are not protected by PIDM and earn no interest as a deposit.
  • Capital deployed against an open cycle cannot be withdrawn until that cycle completes. There is no early-withdrawal facility and no secondary market.

4. Membership NFT

While your account is funded, you are issued a soulbound (non-transferable) membership NFT on the Polygon network, reflecting your membership and tier. You may view it in the app and on public marketplaces such as OpenSea.

The NFT is a membership credential. It does not represent ownership of Earth Guard Ventures, any share, or any security, and it does not change the contractual nature of your participation. It remains issued to you while your account is open and is revoked when you close your account. Because the NFT exists on a public blockchain, the token and its membership data are public and may remain visible even after revocation.

5. Eligibility

  • You must be at least 18 years old.
  • You must provide accurate information during onboarding and keep it up to date.
  • You must be able to enter into a binding contract under Malaysian law.
  • Accounts are personal and non-transferable. Sharing your credentials is a material breach.

6. Financial terms

Commission structures, tier thresholds, risk-buffer rules, and the capital-deployment mechanics applicable to you are shown within your account and form part of these Terms by reference. We may update these schedules from time to time with at least 30 days' prior notice to active users.

Participant returns are contractual and tied to the completion of specific POs. They are not guaranteed. See the Disclosures page for a full risk statement.

7. Not a securities product

Earth Guard Ventures is not a licensed capital markets intermediary and is not regulated by the Securities Commission Malaysia. Participation on the platform is not an investment in securities, a collective investment scheme, a deposit, or a regulated financial product. We do not provide investment, tax, accounting, or legal advice. See the Disclosures page for detail.

8. User obligations

  • Provide accurate, current, and complete information.
  • Do not submit fraudulent, inflated, or misattributed POs or delivery orders.
  • Do not attempt to manipulate tier thresholds or circumvent the platform's rules.
  • Do not use the platform for any unlawful purpose, including money-laundering or terrorism financing.
  • Do not attempt to access data that does not belong to your account.

9. Suspension and termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached these Terms, have provided false information, or have engaged in fraudulent or unlawful conduct. We will settle any amounts properly owing to you upon termination, subject to deduction for verified losses caused by your breach.

You may close your account at any time by written notice to the administrator. Any capital currently deployed against open cycles will be returned on completion of those cycles.

10. Fees and platform spread

We do not charge users a subscription or transaction fee. Earth Guard Ventures retains the difference between the fixed participant-cost component in the commission waterfall and the tiered rate paid to participants. This spread is disclosed in the Disclosures page.

11. Limitation of liability

To the maximum extent permitted by Malaysian law, Earth Guard Ventures is not liable for indirect, incidental, consequential, or special losses, including loss of profit or loss of opportunity, arising out of your use of the platform. Our aggregate liability for any direct loss is limited to the total spread retained by Earth Guard Ventures from transactions involving your account in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any liability that cannot be excluded under Malaysian law.

12. Governing law and disputes

These Terms are governed by the laws of Malaysia. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Kuala Lumpur.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page and emailed to active users at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
